What happened
DirecTV terminated its agreement to acquire EchoStar's Dish satellite TV business after Dish bondholders rejected a debt exchange that required them to accept roughly $1.6 billion in haircuts. The deal, announced September 30, would have paid one dollar for Dish DBS while assuming about $9.75 billion of debt, uniting the two satellite TV providers into a roughly 18 million subscriber platform. The termination took effect November 22.
Why it matters
The logic of the merger was unassailable, two melting ice cubes huddling together, and it still died, because in 2024 the people who actually control legacy media assets are the creditors. The strategic fallout is bigger on the wireless side than the TV side: EchoStar keeps Boost Mobile and its nationwide 5G network but loses the deleveraging the deal provided, leaving America's fourth carrier attached to a balance sheet the bond market just refused to fix. Every MVNO and wholesale customer betting on a viable fourth network should watch EchoStar's 2025 maturities the way sailors watch weather.
