What happened
IHS Holding, one of the world's largest independent tower companies, agreed to be acquired by pan-African operator MTN Group for $8.50 per share in cash — an enterprise value of approximately $6.2 billion. The price represents a roughly 239% premium over IHS's share price when it launched its strategic review in March 2024. MTN, already a major IHS shareholder and its anchor tenant, has agreed to vote its shares in favor, with long-term holder Wendel also supporting the deal, which will take IHS private.
Why it matters
This reverses two decades of telecom orthodoxy: operators spent years selling towers to independents, and now Africa's biggest operator is buying its landlord outright. Vertical reintegration changes the neutral-host math across MTN's markets — every rival carrier hanging radios on IHS steel becomes a tenant of its largest competitor. If the model spreads, the independent towerco era in emerging markets may prove to have been a financing phase, not an end state.
