What happened
Poste Italiane announced that Consob approved the offer document for its voluntary public tender and exchange offer (OPAS) for all Telecom Italia shares; the subscription period is scheduled to run from 20 July to 11 September 2026 and the per-share consideration is €1.67 in cash plus 0.218 newly issued Poste ordinary shares (total consideration implied ~€10.8bn).
Why it matters
This is a state-backed, cash-and-share takeover that would re-concentrate control of Italy’s national carrier and digital infrastructure under Poste, signalling renewed national consolidation and sovereign-interest-driven M&A in European telecoms. It also sets a precedent for cross-border implications (TIM’s Brazilian assets) and will reshape competitive and regulatory dynamics in Italian telecom markets.
