What happened
Swisscom announced on March 15, 2024 a definitive agreement to acquire 100% of Vodafone Italia for €8 billion in cash, to be merged with its Italian fiber subsidiary Fastweb into a converged challenger. The transaction completed on December 31, 2024, with the combined business launching as Fastweb + Vodafone and Vodafone licensing its brand for a transition period — completing Vodafone's exit from Italy a year after selling its Spanish unit.
Why it matters
Vodafone ends 2024 a decisively smaller company, out of Spain, out of Italy, and merging in the UK, and that is the strategy rather than the failure: the footprint-at-any-cost era of European telecom is formally over, replaced by depth in markets where returns exist. Swisscom's bet is that the convergence playbook it perfected at home, fiber plus mobile under one roof, travels across the border, and pairing Fastweb's network with Vodafone's mobile base is a credible challenger blueprint against TIM. The wider pattern is that European consolidation is actually happening, just not the way Brussels imagined; instead of pan-European champions, it is proceeding one national market at a time through exits, joint ventures, and mergers.
