What happened
Tata Communications agreed to acquire NYSE-listed CPaaS provider Kaleyra for $7.25 per share in cash — an equity value of roughly $100 million, a fraction of Kaleyra's SPAC-era peak. Kaleyra brought messaging, voice and omnichannel APIs serving banks and enterprises across 190 countries; the deal closed in October 2023.
Why it matters
The CPaaS reckoning in one transaction: a business that rode the SPAC wave to a billion-dollar valuation sold to a strategic for about a tenth of that. For carriers like Tata, distressed CPaaS assets were a cheap way to buy enterprise messaging scale — and a reminder that in communications platforms, profitable distribution beats growth-at-any-cost.
